Terms of Service
1. Introduction
Ruby (a product of Futureproof Lab, Inc., a Delaware corporation) ("Company," "we," "us," or "our") provides a software-as-a-service platform (the "Service") designed to support sales professionals with automated research, insights, and productivity tools. These Terms of Service (the "Terms" or "Agreement") govern your access to and use of the Service.
By creating an account, accessing, or using the Service, you ("User" or "you") agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that entity to these Terms.
2. Eligibility and Account Registration
Eligibility: You must be at least the age of majority in your jurisdiction to use the Service.
Account Creation: You may register with or without a separate enterprise agreement. You agree to provide accurate information and keep it current.
Account Security: You are responsible for keeping your login credentials secure and for activity on your account. Notify us promptly at support@heyruby.io if you suspect unauthorized use.
3. Service Description
Ruby is a cloud-based AI-powered sales agent offering tools for account research, prospecting, enrichment, and pitch generation.
Key features may include:
AI-generated company insights and sales angles
Access to Google and Microsoft Calendar data (with consent)
Usage-based customization and integrations
We may add, modify, or remove features without prior notice.
Beta Features: Some features may be labeled beta or pilot. These are provided "as-is" and may be modified or discontinued without notice.
4. License and Use Rights
License: Subject to compliance with these Terms, we grant you a limited, non-transferable, revocable license to use the Service for your internal business or sales activities.
Restrictions: You may not:
Reverse engineer, decompile, or copy the Service
Sell or sublicense the Service
Use it to build a competing product
Share unauthorized access
Ownership: Ruby and all associated IP remain the exclusive property of Futureproof Lab, Inc. and its licensors.
5. Fees and Payment
Free and Paid Plans: We offer both free and paid subscriptions. Pricing and plan features are shown at signup.
Billing: Subscriptions renew automatically on a monthly or annual basis as selected. You authorize us to charge your payment method accordingly.
Taxes: All fees are exclusive of applicable taxes.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
All payments and refunds are processed securely through Paddle. Ruby does not store or process credit card data directly. Paddle is PCI DSS SAQ A compliant.
6. Refunds and Cancellations
You may cancel your subscription anytime by contacting us at support@heyruby.io. Your subscription will remain active until the end of the billing cycle, and you will not be charged again.
You may also request a full refund of your most recent payment at any time during the billing cycle. Refunds will be processed within 5–10 business days to the original payment method.
We do not offer prorated refunds. Refund requests may be limited in cases of suspected abuse.
All refund requests will be processed by Paddle in accordance with our published refund policy. Please note that Paddle handles payment reversals as our payment processor and Merchant of Record.
7. User Content and Data
User Content: You retain ownership of any content, such as sales leads or notes, uploaded or generated during use.
License to Company: You grant us a limited, non-exclusive license to host, process, and use your content solely to operate the Service.
AI-Generated Insights: AI-generated outputs associated with your account are not reused across accounts and are stored securely unless deleted by you.
Data Protection: We maintain appropriate safeguards to secure your data. See our Privacy Policy for more.
8. Acceptable Use
You agree not to:
Violate any applicable law
Upload harmful or unauthorized content
Attempt to gain unauthorized access to systems
Scrape or crawl content without permission
9. Warranties and Disclaimers
Your Warranties: You have the legal right to enter into this agreement and use the Service in accordance with these Terms.
Our Warranties: We provide the Service in a professional manner consistent with industry norms.
Disclaimer: EXCEPT AS STATED ABOVE, THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL OTHER WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10. Indemnification
You agree to indemnify and hold Futureproof Lab, Inc. harmless from any claims or liabilities arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
We agree to defend you against claims that the Service infringes a third party’s IP rights, provided you notify us promptly and cooperate in the defense.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. OUR LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRIOR TO THE CLAIM.
12. Term and Termination
These Terms remain in effect until terminated by you or us.
You may terminate by emailing support@heyruby.io. We may suspend or terminate your account if you breach these Terms.
Upon termination, access ends immediately, and we may delete your data unless legally required to retain it.
13. Changes to the Service or Terms
We may update the Service or these Terms. We'll revise the "Last Updated" date and notify you if material changes occur. Continued use constitutes acceptance.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Delaware, USA.
Arbitration: Disputes shall be settled by binding arbitration under the rules of the American Arbitration Association. Venue is Delaware. Judgment on the award may be entered in any competent court.
Injunctive Relief: Either party may seek injunctive relief in court for IP or confidentiality breaches
15. General Provisions
Assignment: You may not assign these Terms without our consent. We may assign them freely.
Severability: If any part is held unenforceable, the rest remains effective.
Waiver: Our failure to enforce any right is not a waiver.
Entire Agreement: These Terms and our Privacy Policy form the full agreement.
Force Majeure: Neither party is liable for failure caused by forces beyond their control.
Survival: Sections on indemnity, limitations, IP, and dispute resolution survive termination.
